COMPOUNDING OF OFFENCES

Section 441 of the Companies Act, 2013 deals with “Compounding of certain offences” punishable under this Act (whether committed by Company or any officer thereof) not being an offence punishable with imprisonment only, or punishable with imprisonment and also with fine, [as per Companies Amendment Act, 2107] may, either before or after the institution of any prosecution, be compounded by –

  • The Tribunal
  • where the maximum amount of fine which may be imposed for such offence does not exceed five lakh rupees, by the Regional Director or any officer authorised by the Central Government

CONDONATION OF DELAY

Section 460 of the Companies Act, 2013 provides that –

  • where any application required to be made to the Central Government, and
  • where any document required to filed with the Registrar, is not filed within the time, the Central Government may. For reasons to be recorded in writing, condone the delay.
